The reluctance of Cerberus to deal with Renault/Nissan I suspect is because they know they will get screwed in the process - and deservedly so for one of the most lame-brained investments ever. For the workers of Chrysler an international tie-up is the best option as it will keep jobs - and Renault/Nissan is a class act.

For GM it takes out a competitor and provides a warchest plus additional leverage on Washington. Washington should see that the deal does not necessarily save GM and it certainly dooms Chrysler and its workers whilst allowing Cerberus hope to reduce the losses it will make from 100% to a lower percentage.
