CoreWeave Needs $3 Billion More. The Stock Paid the Dilution Tax.
CoreWeave just reminded the market that AI cloud growth still eats capital for breakfast.
The Nvidia-backed AI cloud company (CRWV) said Thursday it plans to raise $3 billion through convertible senior notes due 2033, with room for another $500 million if buyers take the greenshoe. It also set up an at-the-market stock program for up to 35 million Class A shares. The stock slipped more than 3% early and finished roughly 4% lower as dilution math hit the tape.
Terms on rate and conversion will set at pricing. Part of the note proceeds go to capped calls meant to limit dilution if the paper converts. The rest is general corporate purposes. Management framed the ATM as financing flexibility and a step toward an investment-grade credit profile.
The demand side still looks hot
Convertible notes sit in a gray zone between cheap debt and delayed equity. Buyers accept a coupon in exchange for the option to own stock later, which is why the structure is popular when AI infrastructure companies need cash faster than free cash flow can fund the next megawatt of power.
CoreWeave said short-term customer contracts recently cleared about $40 million per megawatt on an annualized basis. Contracted power capacity rose to roughly 4.2 gigawatts as of August 11, up from 3.7 gigawatts at the end of the second quarter. That is the bull case in one line. Customers will pay up for scarce AI compute.
The capital stack is the product cycle now, because racks do not ship on goodwill alone. The bear case is just as plain. Building and financing that capacity means constant trips to the debt and equity window. Convertible notes are cheaper than screaming equity overnight, but they still sit above the common and they still create conversion overhang. An ATM of 35 million shares is not a tiny sleeve if the company leans on it in a soft tape.
What I am watching
Year to date the stock was still up more than 16% into the raise talk, so this is not a broken story. It is a balance-sheet story. Every AI neocloud that grows faster than free cash flow will keep choosing between slowing the build and selling paper. CoreWeave chose paper.
If pricing stays near that $40 million per megawatt run rate and utilization holds, the raise can look smart six months from now. If spot compute softens or financing costs stay ugly after the Fed hike, the same raise will look like the moment the multiple cracked. Dilution is not a plot twist here. It is the business model until cash flow catches the power bill.
Bottom Line: CoreWeave is still selling scarce AI power. Thursday's $3 billion convertible and ATM sleeve say the growth still needs outside money, and the stock paid the dilution tax in real time.
